TERMS AND CONDITIONS:

The terms and conditions mentioned here shall be binding to Client as well as NITS Décor. However, a detailed Client Service Agreement (CSA) will be signed before the execution stage and after completing 60% payment of the Final BOQ Value.

SCOPE OF SERVICES:

The scope of the services ("Services") provided by NITS Décor shall be as per the Tentative BOQ. However, the final scope of services and the Final BOQ shall be shared with Client after the design phase is completed and before execution is started.

PAYMENT FOR SERVICES RENDERED:

The total price payable by the Client for the Services ("Price") shall be as per the Final BOQ sent by NITS Décor at the time of signing the CSA. However, the booking amount of 10% shall be paid as per the Tentative BOQ shared by NITS Décor. The Price shall be payable as per the payment plan mentioned below:

Notes:

Conversion of Engagement Clause:

At the time of onboarding the Client engages the Company for design along with execution and subsequently elects to discontinue execution services and proceed on a design-only basis, the fee structure shall automatically stand revised to the Company’s prevailing design-only rates as specified below:

“Total Area (in Square Feet) of Property Designed During Design Phase” multiply by “AED 50”

Notes:

Booking Fee:

The booking fee paid initially shall be adjusted against Final BOQ value.

Estimated Project Quote:

This quote is indicative and generated based on Client’s current requirements. As a quote is affected by the brand, make, quality, design, product, materials, colors, and services Client chooses, it is liable to change in the Final BOQ.

If the project scope or value is changed at the execution stage, then any free gift(s) or discounts offered during the time of sale shall stand withdrawn for the additional scope of work.

Quote Validity:

Initial BOQ at 10% stage is valid only for sixty (60) days and price is liable to change in case the project does not go into execution.

Once the booking fee is paid by the Client, the quoted rates shall be valid for two (2) months. Any modification, such as changes in scope or requirements, to the proposal may result in a price change. The prices are applicable for this project only. In case payment is not made by the Client as per payment terms, then the Company shall adjust the booking fee as design charges for the project.

TIMELINES:

Execution timeline will begin from the date of Authority approvals received and 60% payment received (60% of Final BOQ Value) by NITS Décor along with the signed CSA. NITS Décor will not be liable to bear any delay penalty if the delay in the execution and subsequent handover is due to Authority Approval(s), delay in payments as per the payment plan, change in scope of work after confirmation, or reasons beyond control, including force majeure events and change in applicable law.

DESIGN:

The maximum number of design iterations is “3”.

MARKETPLACE PRODUCTS:

All furniture, decor, appliances and accessories which belong to the NITS Décor brand partners are referred to as marketplace products.

INVOICING:

Invoices:

Invoices for the services, NITS Décor products, other services, and brand partner products shall be raised by NITS Décor.

Fees and Invoicing:

The Company shall invoice the Client in accordance with the agreed fee structure and payment plan, and all invoices must be paid within twenty-four (24) hours from the date or due date mentioned in the invoice. Failure to initiate the payment within this timeframe may result in the work being paused until the payment is received and confirmed.

Taxes:

All fees are inclusive of Value Added Tax (VAT).

Mode of Payment:

Payments shall be made via bank transfer / cheque / online payment / cash to the account specified by the Company. In case payment is made through online payment modes such as payment links or POS machines, an additional 3% transaction charge will be applied to the payable amount.

DEFAMATION AND NON-DISPARAGEMENT:

The Client and the Company agree that neither party shall make, publish, circulate, or communicate—whether directly or indirectly—any false, misleading, defamatory, or malicious statements concerning the other party, including its business, employees, consultants, or services, through any medium, including but not limited to verbal communication, written correspondence, social media platforms, online reviews, or electronic communications.

Nothing in this clause shall prevent either party from making truthful statements, lawful reviews, or disclosures required by law or made in good faith to competent judicial or governmental authorities. In the event of any dispute or dissatisfaction, the parties agree to first attempt to resolve the matter amicably and in good faith prior to making any public statement.

Content removal: Any defamatory or unlawful content shall be promptly removed or corrected upon written notice by the affected party.

CANCELLATION POLICY:

The booking fee is non-refundable once paid. If the Client cancels the project after booking, no portion of the booking fee or other payments will be refunded.

Any bundled, discounted, or absorbed design fees offered at the time of onboarding shall stand withdrawn if the initial scope of work is descoped by the Client by more than 10% at the time of signing the CSA.

Any additional work or deliverables already completed by the Company up to the point of cancellation may also be billed, at NITS Décor’s discretion, in proportion to the effort expended.

All the expenses incurred by NITS Décor for the processing of the project till the date of termination event shall be reimbursed / paid for / settled by the Client.

No refunds will be provided by the Company in the event of premature termination of the agreement before the completion of the project.

NITS Décor cannot cancel, replace, or modify items once the order is placed since each item is made to order.

Products with non-manufacturing defects and damages post-delivery are not eligible for returns or replacements.

The return policy is not applicable to services, customized products, and made-to-order furniture pieces.

GOVERNING LAW AND JURISDICTION:

The terms and conditions contained herein shall be governed and interpreted in accordance with the laws of UAE, and any dispute arising therefrom shall be submitted to the exclusive jurisdiction of the courts at Dubai, UAE.
